General Terms and Conditions (GTC) of Pathotec AG<\/strong><\/h2>\n

<\/strong><\/p>\n

  1. Scope of application<\/strong>
    \n1.1 These General Terms and Conditions (GTC) apply to all contracts, deliveries and services of Pathotec AG, unless expressly agreed otherwise in writing.
    \n1.2 Deviating terms and conditions of the customer are only recognized if they are expressly accepted by Pathotec AG in writing.<\/li>\n<\/ol>\n

    1. Conclusion of contract<\/strong>
      \n2.1 Offers from Pathotec AG are subject to change and non-binding. The contract is only concluded upon written order confirmation or delivery by Pathotec AG.
      \n2.2 Verbal ancillary agreements or amendments require written confirmation by Pathotec AG.
      \n2.3 Drawings, samples and other documents remain the property of Pathotec AG and may not be used or made accessible to third parties without written consent.<\/li>\n<\/ol>\n

        \n
      1. Prices and terms of payment<\/strong>
        \n3.1 All prices are ex works, excluding packaging and plus statutory VAT, unless otherwise agreed.
        \n3.2 Invoices are payable net within 30 days of the invoice date. In the event of late payment, Pathotec AG reserves the right to charge interest on arrears at a rate of 5% p.a.
        \n3.3 Shipping costs, in particular for hazardous goods or deliveries abroad, will be charged at cost, unless otherwise agreed.<\/li>\n<\/ol>\n

         <\/p>\n

          \n
        1. Delivery and transfer of risk<\/strong>
          \n4.1 Delivery dates are non-binding unless they have been expressly confirmed as binding.
          \n4.2 The risk is transferred to the customer when the goods are handed over to the transport service provider. In the event of a delay at the customer’s request, the transfer of risk shall take place upon notification of readiness for dispatch.
          \n4.3 Partial deliveries are permissible insofar as they are reasonable for the customer.<\/li>\n<\/ol>\n

          1. Retention of title<\/strong>
            \n5.1 The delivered goods remain the property of Pathotec AG until the purchase price has been paid in full.
            \n5.2 The customer undertakes to treat the goods with care and to protect them from access by third parties until payment has been made in full.<\/li>\n<\/ol>\n

             <\/p>\n

              \n
            1. Warranty and liability<\/strong>
              \n6.1 Complaints must be made in writing within 10 days of receipt of the goods.
              \n6.2 Pathotec AG guarantees that the products are free from defects in material and workmanship. The warranty period is 12 months from the date of delivery.
              \n6.3 Any liability for consequential damages, loss of profit or other indirect damages is excluded to the extent permitted by law.<\/li>\n<\/ol>\n

              1. Returns and withdrawal<\/strong>
                \n7.1 Returns require the prior written consent of Pathotec AG.
                \n7.2 The customer shall bear the costs for returns, unless the return is due to a defect for which Pathotec AG is responsible.<\/li>\n<\/ol>\n

                1. Data protection<\/strong>
                  \n8.1 Pathotec AG processes the customer’s personal data exclusively in accordance with the statutory provisions. Further information can be found in Pathotec AG’s privacy policy.<\/li>\n<\/ol>\n

                  1. Place of jurisdiction and applicable law<\/strong>
                    \n9.1 The place of jurisdiction for all disputes is Zurich, Switzerland.
                    \n9.2 Swiss law applies exclusively.<\/li>\n<\/ol>\n
